1/ Without prejudice to the rights of Contractor under this Sub-Contract, the Contractor shall be entitled to set-off against any monies due or which may become due under the Sub-Contract, the amount of any claim for loss and/ or expense and/ or damage (including but not limited to liquidated damages) which has been incurred by the Contractor by reason of any breach of, or failure to observe the provisions of the Sub-Contract by the Sub-Contractor. For the purpose of ensuring satisfactory and timely completion of the Sub-Contract Works, if the Sub-Contractor persistently and continues for three (3) days upon receipt of a written notice fails to proceed to complete the Works with due diligence or expedition and/ or in conformity with the Sub-Contractor or Consultant’s requirements, the Contractor reserves the right to engage others to carry out any part of the Sub-Contract Works. In the circumstances, the Contractor shall set-off any amount incurred in such an arrangement from monies due or which may become due to the Sub-Contractor and the Sub-Contractor shall be liable to indemnify the Contractor for any Claims, proceedings, damages, costs and expenses incurred or suffered by the Contractor in engaging such other party. Such an arrangement made herein, however, does not relieve the Sub-Contractor of his full obligations under Sub-Contract.
2/All materials and workmanship comprised in the Works shall, save where otherwise expressly stated or required, be the best of their described kinds, and shall in all areas be of good quality and approved by the Consultants and in exact conformity with the contract description or Specifications, latest applicable standards, relevant Codes of Practice and local Authorities’ requirements
